As the Associate General Counsel, you will support the General Counsel – Americas with legal issues that arise within the business and provide sound legal advice to all levels of the organization through complete understanding of the business objectives and risk assessment for the Americas markets. In particular you will lead the strategic contracting function for the Americas region and manage the Americas legal policies related to retailers, including management of competition and antitrust risks.  

About the role

Lead the strategic contracts drafting, review, and negotiation function for the Americas legal team 
  • Prepare contracts and amendments to minimize risk while serving the needs of the business 
  • Negotiate successful commercial contracts including but not limited to sales and service agreement, master service agreements, terms and conditions and vendor agreements  
  • Clearly and concisely explain terms and company’s position to internal customers/clients and third parties during negotiations 
  • Serve as an integral member of the corporate sales team by acting as a liaison on contract and other administrative support matters relating to retailer and distribution channel management 
  • Partner with and manage outside counsel as necessary  
Manage all Americas legal policies related to retailers
  • Oversee legal team administration of regional pricing policies  
  • Assess, advise on, and manage competition and antitrust risk 
Efficiently manage a large volume and variety of projects 
  • Collaborate with internal customers/clients to provide sound legal advice to support business objectives 
  • Partner with internal customers/clients to ensure accurate information flow and agreed action plans are in place 
  • Maintain clear and accurate communication with internal and external partners  
  • Negotiate numerous complex deals simultaneously while balancing appropriate legal and business risks 
  • Relish the opportunity to pick up new activities that fall broadly in the purpose of the role 

About you

  • Graduation from an accredited law school and licensed to practice in Illinois  
  • 8-12 years of general corporate experience law firm or in-house; a combination of law firm and in-house experience strongly preferred 
  • Solid generalist background, including contract review, drafting and negotiating 
  • Experience with US antitrust and competition law 
  • Experience in developing policies and procedures for ensuring corporate compliance  
  • Ability to effectively communicate legal interpretations to all levels of management 
  • Exceptional interpersonal skills, with the ability to demonstrate sensitivity, tact and professionalism in dealing with internal clients and colleagues and external agencies and counsel 
  • Self-motivated and able to work in a dynamic environment 
  • High degree of organizational and time management skills, with a proven ability to manage multiple, complex projects when necessary 
  • Highest degree of ethical standards 
  • Adaptable/flexible – able to multi task 
  • Strong attention to detail and accuracy 
  • Professional/discreet/loyal 
  • Team player 
  • Minimal travel required but must be available to do so as needed
  • Spanish or French language skills a plus
